1. Acceptance of these terms
The website, software application, and related services known as Mcoy or Mcoy Health are developed and operated by LikeMetric, Inc. and its affiliates. In these Terms, we, us, and our mean LikeMetric, Inc.
By accessing or using Mcoy, you agree to these Terms. You confirm that you have the power and authority to enter into, be bound by, and perform your obligations under them. If you do not agree, you must not use Mcoy.
2. Accounts and registration
2.1 Accounts
To access Mcoy, you must register for and maintain an account. By creating an account, you confirm that you are legally able to enter into a binding agreement with us and that you will use Mcoy only in accordance with these Terms and any applicable usage or safety policies we publish.

During registration and activation, you may need to provide us with information including your full name, organization or employment details, email address, phone number, and other account setup information. We use this information to operate Mcoy, keep accounts secure, and deliver the related services as described in our Privacy Policy.

3. Services
3.1 Overview
Mcoy provides clinical workflow software, including ambient documentation support, transcription, note generation, templates, task workflows, team administration, and related operational features intended to support healthcare delivery and clinic administration.
3.2 Updates
From time to time, we may update, remove, change, or add functions. Some new or updated features may be subject to additional terms, usage conditions, or fees that we notify you about before or when they become available.
3.3 Term
These Terms begin when you first access Mcoy and continue until terminated by you or us in accordance with these Terms.
4. Fees and payments
Certain plans, features, or seats may require payment of subscription fees or additional fees as shown on our website, inside the product, or as otherwise agreed with you. Unless stated otherwise, all fees are due in advance for the applicable subscription period and are exclusive of applicable taxes.
- We may suspend or terminate access if applicable fees are not paid.
- Your subscription may renew automatically unless you cancel before the current billing period ends.
- We may change pricing on reasonable advance notice, with changes applying to a future renewal period.
- Except where required by law or expressly stated by us, fees are non-refundable.
5. Privacy and data use
Each party must comply with the privacy and data protection laws applicable to its handling of personal information under these Terms.
You are responsible for ensuring that you have all necessary rights, notices, and consents to provide data to Mcoy and to use Mcoy in connection with patient, staff, clinic, or other third-party information. Our collection, use, storage, and disclosure of information is described in our Privacy Policy.
We may use de-identified or aggregated information to operate, support, secure, and improve Mcoy where permitted by law and our Privacy Policy.
6. Use of Mcoy
You must:
- comply with all applicable laws, regulations, and professional obligations;
- follow any applicable consent requirements in your jurisdiction;
- provide accurate information when using the platform;
- follow our published usage and safety rules; and
- promptly notify us of material defects, incidents, complaints, or security concerns relating to Mcoy.
You must not:
- sell, sublicense, distribute, or transfer Mcoy except as expressly permitted by us;
- reverse engineer, decompile, or attempt to extract source code except where law clearly permits it;
- modify or create derivative works of Mcoy in an unauthorized way;
- remove proprietary notices;
- submit unlawful, misleading, or malicious content; or
- use Mcoy in a way that creates avoidable cybersecurity or patient-safety risk.
7. Third-party functionality and linked resources
Mcoy may include or depend on third-party software, data sources, integrations, APIs, infrastructure, content, websites, or other services. Your use of some of these third-party elements may also be subject to the terms of those third parties.
Unless expressly stated otherwise, we do not control and are not responsible for third-party resources outside Mcoy.
8. Intellectual property
8.1 Our rights
We or our licensors own all rights, title, and interest in Mcoy and all related content, software, branding, text, graphics, interfaces, and materials made available through the service, except for content you or your organization submit to the platform.
8.2 License to you
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use Mcoy during the term of these Terms for your internal clinical or operational use in accordance with your subscription and these Terms.
8.3 Feedback
If you give us feedback, suggestions, or feature ideas, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback to improve Mcoy without compensation to you.
8.4 Your materials
You retain ownership of your materials. You grant us the rights reasonably necessary to host, process, transmit, display, secure, back up, and otherwise operate Mcoy for your benefit and as described in these Terms and our Privacy Policy.
9. Confidentiality
Each party must protect the other party’s confidential information using reasonable safeguards and must not disclose it except to personnel or advisers with a need to know, where required by law, or where the information is already lawfully public.
You must promptly notify us of any actual or suspected security breach relating to Mcoy, your access credentials, or confidential information associated with the service.
10. Limitations and product use
10.1 Technical requirements
You are responsible for ensuring your own systems, browsers, devices, network access, and local workflows are suitable for use with Mcoy.
10.2 No medical advice
Mcoy is a workflow support tool. It is not a doctor, does not practice medicine, and does not replace professional judgment. You remain solely responsible for all diagnosis, treatment, prescribing, referrals, documentation approval, and other clinical decisions.
AI-generated content can be inaccurate, incomplete, outdated, or contextually wrong. You must independently review and validate outputs before relying on them.
10.3 Adverse events and issues
You must notify us promptly if you become aware of a product issue, malfunction, or output concern that has caused or could reasonably cause patient harm, workflow harm, or legal risk.
11. Suspension and termination
11.1 Suspension
We may restrict, suspend, or terminate access to Mcoy where reasonably necessary for security, legal compliance, non-payment, misuse, platform integrity, or operational reasons. Where practicable, we will try to provide notice.
11.2 Termination
You may stop using Mcoy and terminate your account through the product settings or by contacting us. We may terminate these Terms if you breach them, if we withdraw Mcoy from the market, or if we reasonably need to do so to comply with law.
11.3 Effect of termination
On termination, your right to access Mcoy ends, outstanding fees remain payable, and each party’s surviving rights and obligations continue as required by their nature.
12. Indemnity
To the extent permitted by law, you will indemnify and hold harmless LikeMetric, Inc. and its affiliates against losses, claims, liabilities, costs, and expenses arising from your breach of these Terms, unlawful conduct, negligent use of Mcoy, misuse of patient or third-party data, or violation of applicable law or professional obligations, except to the extent caused by our own unlawful or willful misconduct.
13. Liability
13.1 Disclaimer
To the maximum extent permitted by law, Mcoy is provided on an as is and as available basis without warranties of any kind, whether express, implied, statutory, or otherwise.
We do not warrant that Mcoy will be uninterrupted, error-free, completely secure, or suitable for every clinical workflow or legal requirement.
13.2 Liability cap
To the extent permitted by law, our aggregate liability arising out of or relating to these Terms or Mcoy will not exceed the total fees paid or payable by you to us for the relevant service during the 12 months preceding the event giving rise to the claim.
14. Jurisdiction and governing law
These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. You submit to the non-exclusive jurisdiction of the courts located in Delaware, United States.
15. Updates to these terms
We may modify these Terms from time to time by providing reasonable notice through the platform, email, or other appropriate means. If a change materially and adversely affects your rights and you do not agree to it, you may stop using Mcoy and terminate your account before the change takes effect. Continued use after the effective date means you accept the updated Terms.
16. General
- Your account is personal to you and may not be assigned or transferred without our written approval.
- Each party acts as an independent contractor. These Terms do not create a partnership, agency, or employment relationship.
- If part of these Terms is unenforceable, the remaining parts continue in effect.
- These Terms form the entire agreement between you and us regarding Mcoy, unless we expressly agree otherwise in writing.
- Delays caused by events beyond our reasonable control may suspend affected obligations for the duration of the disruption.
